Delaware Business License Requirements
Delaware is one of the minority of U.S. jurisdictions with a true statewide business license. Delaware requires every business operating in the state to hold a Delaware business license from the Division of Revenue and to pay gross receipts tax; forming a Delaware entity alone does not create the license. The annual license fee is generally $75 for a first location, and a separate license is required for each separate business activity; a three-year license costs three times the annual fee. This guide covers who must register, how the filing works, renewals, and the local and industry-specific licenses that stack on top.
Application process
Delaware requires every business operating in the state to hold a Delaware business license from the Division of Revenue and to pay gross receipts tax; forming a Delaware entity alone does not create the license.
The annual license fee is generally $75 for a first location, and a separate license is required for each separate business activity; a three-year license costs three times the annual fee.
A typical filing includes the business's legal name and entity information, ownership and responsible-party details, the physical and mailing addresses for each location, a description of business activity (often keyed to a NAICS code), and the applicable registration fee. Register the entity itself (and appoint a registered agent, if formed out of state) before or alongside the license filing, and layer any industry-specific state licenses, sales or excise tax accounts, and local city or county licenses on top; the statewide license does not replace them.
Renewals
Delaware business licenses renew annually at the same rate (generally $75 for a first location), with an optional three-year license priced at three times the annual fee, and gross receipts tax filings continue on the schedule the Division of Revenue assigns. Keep the entity's annual report and registered agent current, and track any industry-specific and local license renewals separately; each runs on its own cycle.
The statewide license is the floor, not the ceiling: regulated activities such as contracting, food service, childcare, transportation, and financial services still require their own Delaware licenses, and municipalities may impose local licenses or zoning permits. Confirm current requirements with the Delaware Division of Revenue before operating.
