# Do private money lenders need a license? *Reviewed 2026-07-30* ## Short answer It depends on the loan purpose, the collateral, and the state. Business-purpose loans to entities secured by investment real estate are exempt from lender licensing in many states, which is why much private money lending operates unlicensed. But California licenses most non-bank lenders even for business-purpose loans, several other states regulate business-purpose real estate lending, and any consumer-purpose or owner-occupied loan generally triggers mortgage lender and MLO licensing. Map the states you lend in before assuming an exemption. The analysis runs on three questions. First, purpose: a loan used for personal, family, or household purposes is consumer credit and pulls in consumer lending and mortgage licensing nearly everywhere, no matter what the note says. Second, collateral: a lien on an owner-occupied home brings mortgage licensing and federal consumer protections even for a loan labeled business purpose, which is why many private lenders decline owner-occupied deals entirely. Third, geography: California's Financing Law reaches business-purpose lenders, and states including Arizona, Nevada, North Dakota, and South Dakota apply licensing or registration to categories of private real estate lending. Lenders who arrange loans funded by others face a separate broker-side analysis, and repeat lending as a business weakens the casual-lender exemptions some states offer individuals.
